RHÖN-KLINIKUM AG

Notification according to section 26 para. 1 WpHG

On 19 June 2012, SEB AG, Frankfurt, Germany, and Skandinaviska Enskilda Banken AB (publ), Stockholm, Sweden, notified us pursuant to section 25 WpHG of the following:

1) SEB AG, Frankfurt, Germany, notified us pursuant to section 25 para. 1 WpHG of the following:

On 18 June 2012, SEB AG fell below the threshold of 10% of the voting rights of RHÖN-KLINIKUM AG, Schlossplatz 1, 97616 Bad Neustadt a. d. Saale, Germany. On that date, SEB AG held 9.99% of the voting rights in RHÖN-KLINIKUM AG (equals 13,803,628 voting rights). From these voting rights a proportion of 9.63% (equals 13,318,128 voting rights) is based on voting rights pursuant to sections 21, 22 WpHG and a proportion of 0.35% (equals 485,500 voting rights) is based on (financial/other) instruments pursuant to section 25 WpHG. From the voting rights based on instruments pursuant to section 25 WpHG a proportion of 0.00% (equals 0 voting rights) is held indirectly. Exercise period of the instruments pursuant to section 25 WpHG is any time until cancellation/claim for the return of shares, maturity upon cancellation/claim for the return of shares.

2) Skandinaviska Enskilda Banken AB (publ), Stockholm, Sweden, notified us pursuant to section 25 WpHG of the following:

On 18 June 2012, Skandinaviska Enskilda Banken AB (publ) fell below the threshold of 15% of the voting rights of RHÖN-KLINIKUM AG, Schlossplatz 1, 97616 Bad Neustadt a. d. Saale, Germany. On that date, Skandinaviska Enskilda Banken AB (publ) held 14.74% of the voting rights in RHÖN-KLINIKUM AG (equals 20,371,827 voting rights). From these voting rights a proportion of 9.63% (equals 13,318,128 voting rights) is based on voting rights pursuant to sections 21, 22 WpHG and a proportion of 5.10% (equals 7,053,699 voting rights) is based on (financial/other) instruments pursuant to section 25 WpHG. From the voting rights based on instruments pursuant to section 25 WpHG a proportion of 0.35% (equals 485,500 voting rights) is held indirectly (chain of controlled undertakings: SEB AG, Ulmenstraße 30, 60325 Frankfurt, Germany).  Exercise period of the instruments pursuant to section 25 WpHG is any time until cancellation/claim for the return of shares, maturity upon cancellation/claim for the return of shares.
